Where they started

Legal teams already had access to general AI assistants. The problem was never generating text. Ask one for an indemnity clause and it returns an indemnity clause, written as the average of everything it has read, in wording nobody at the firm agreed to. The work that actually costs time starts after that: pasting into Word, mailing it out, chasing a reply, signing somewhere else, and filing the result by hand.

The problem

A contract is not a document, it is a loop. Draft, check, send, sign, file. Every tool on the market owned one step of that loop and handed the rest back to a person, which is why the record of what happened ends up scattered across Word, an inbox, an e-sign tool and a shared drive. Reassembling it later, when something goes wrong, is the expensive part.

What we built

  • Drafting from three things the team controls

    Rather than prompt a general model, Karyalo drafts from a workflow the firm writes once in plain English, which sets out which sections appear, in what order and on what terms; a clause library of approved wording with its fallback positions; and the agreements the firm has already signed. All three are readable and editable by the team, so the output is accountable to a decision somebody made rather than to a training set.

  • Review that quotes the problem and writes the fix

    Every clause is graded against the firm’s agreed positions. Where a clause fails, the offending text is quoted back and a redline is written, so the reviewer sees the specific words at issue and the proposed replacement side by side instead of a general warning.

  • A playbook with real positions, not a checklist

    Positions are recorded as never-accept, fallback and standard, per clause type and per side of the deal. The same agreement reviewed buy-side and sell-side produces different grading, which is how the work is actually done.

  • Sending and signing kept inside the record

    A contract goes out as a single tracked link that needs no account at the other end. The sender can see where it stands and revoke it at any time. Signature happens in a set order, bound to the exact version that was sent, and everyone receives the executed PDF. Because sending and signing never leave the platform, the audit trail is a by-product rather than something anybody has to assemble.

The loop closes in one place

Drafting, review, negotiation, signature and the record all sit against the same matter. There is no handoff between four tools, and no point where the trail is only reconstructable from somebody’s inbox.

Follow-up stops being a person’s job

Share links carry expiry, revocation and automatic chasing, so the task of remembering who has not signed yet is handled by the system rather than by a list somebody maintains.

Built against real matters

Karyalo was built alongside practising lawyers, and onboarding starts from one of the firm’s own live contracts rather than a demo document, so the drafting recipe and clause library reflect how that firm actually works from the first day.
